Governance failures are rarely failures of intent. Structures exist on organization charts, policies are documented and approved, and committees are formally constituted — yet decisions still route around them, accountability remains ambiguous, and outcomes depend on who happens to be in the room.
We treat governance as an operating system rather than a document set. That means specifying who decides what, at what threshold, on what evidence, and within which forum; then building the process architecture, terms of reference, and authority matrices that make those rules operable and auditable. The test is not whether the framework is approved, but whether it survives contact with an ordinary week.

Governance Diagnostic & Decision Mapping
Map how decisions are actually made today — the forums, thresholds, escalation routes, and informal workarounds — and compare that against the governance framework as documented.
Committee Architecture & Terms of Reference
Design the committee structure, membership, quorum, cadence, and reporting lines, with terms of reference that define mandate, inputs, decision scope, and escalation for each forum.
Decision Rights & Authority Matrix
Specify delegated authority by decision type and financial threshold, resolving overlaps and gaps, so that accountability is unambiguous and approvals are neither bottlenecked nor uncontrolled.
Process Architecture & Policy Governance
Establish the process hierarchy, ownership model, and the governance of policies and procedures themselves — how they are drafted, approved, reviewed, versioned, and retired.
